I have a new desktop and the new inboard nice does not work. I downloaded latest drivers for Linux but since it is the NIC I can not use firmware update which was a tar.gz file. I expanded it onto a usb thumb drive. Since i don't have internet access i can not do software update, How do I install it?

No idea, since you don't tell us what this file is, where you got it, what version/distro of Linux you're using or anything about your computer. What's the name of the file? Brand/model of computer? Chipset of adapter? Anything??
Tar.gz files are generally more likely to contain source from which to build a driver than a driver that is ready to use. Please answer TB0ne's questions if you still need help.
